This job was assigned by a translation company in Beijing dated February 14, roughly 10,000 Chinese characters all told. The well-polished version is scheduled for delivery on Friday morning. As luck would have it, the whole stuff is a little easier compared with the identical ones I usually deal with, so i feel greatly pleased with this job, anyhow.

Conrtact of Sino-Foreign Equity Joint Venture Company (JV Company)
Case 1:
合營(yíng)公司為中華人民共和國(guó)法人，受中國(guó)法律的保護(hù)和管轄耳高。其一切活動(dòng)必須遵守中華人民共和國(guó)的有關(guān)法律扎瓶、法令、條例和規(guī)定泌枪。
The JV Company is a legal person within the territory of the People’s Republic of China, who shall be governed and protected by Chinese law. The company must comply with the relevant laws, statutes, regulations and rules of the People’s Republic of China in engaging in all its activities(=The Company shall engage in all its activities in compliance with the relevant laws, statutes, regulations and rules of the People’s Republic of China) .
Case 2:
任何一方如對(duì)其出資額逾期繳付或欠繳或不繳概荷，應(yīng)按第五十七條規(guī)定處理。
If any party delays, defaults or refuses the payment of its subscribed capital contribution, it shall be subject to provisions prescribed in Article 57.

Case 3:
如果董事會(huì)對(duì)提交的問(wèn)題沒(méi)有做出決定蓝谨，但該問(wèn)題有危害到合營(yíng)公司的利益灌具，任何一方可要求另外兩方開(kāi)會(huì)采取行動(dòng)。各方在會(huì)上將根據(jù)其在合營(yíng)公司中的投資利益進(jìn)行贊成性投票譬巫，做出必要的決定咖楣。
If the board of directors fails to make a decision for the problem submitted, but this problem may endanger the interests of the JV Company, any part may require the other two parties to call a meeting for immediate action. All parties may cast the affirmative votes according to their investment interests in the JV Company and make the necessary decision.
Case 4:
董事長(zhǎng)是合營(yíng)公司的法定代表，董事長(zhǎng)因故不能履行其職責(zé)時(shí)芦昔，可臨時(shí)授權(quán)其本人代表代替其履行職責(zé)诱贿。
The chairman of the board is the legal representative of the JV Company. Should the chairman be unable to exercise his responsibilities for any reason, he shall authorize his agent to perform his powers and duties on his behalf.
Case 5:
如果董事會(huì)對(duì)提交的事宜未能做出決定，并由此危及合營(yíng)公司的利益咕缎，總經(jīng)理可以按其意見(jiàn)采取步驟珠十，確保合營(yíng)公司的利益。
If the board of directors fails to make a decision upon the matter thus submitted, which may endanger or harm the interests of the JV Company, the general manager may take the measures at his own discretion to ensure the interests of the JV Company.
Case 6:
總經(jīng)理應(yīng)任命各部門經(jīng)理锨阿，負(fù)責(zé)辦理總經(jīng)理交辦的事項(xiàng)，并對(duì)總經(jīng)理負(fù)責(zé)记罚。
The general manager shall appoint managers for all departments, who shall be responsible for the matters assigned by the general manager and shall be responsible to the general manager.
Case 7:
履行公司黨風(fēng)廉政建設(shè)主體責(zé)任墅诡，領(lǐng)導(dǎo)和支持公司紀(jì)檢機(jī)構(gòu)履行監(jiān)督責(zé)任，嚴(yán)格執(zhí)行和維護(hù)黨的紀(jì)律桐智。
perform the entity responsibility of the company in promoting the construction of the party style, ethical governance and clean government, lead and support the company’s disciplinary inspection body to perform the supervisory responsibility, and strictly implement and maintain the party discipline.
Case 8:
任何一方有權(quán)另請(qǐng)一位在中國(guó)或外國(guó)注冊(cè)的會(huì)計(jì)師對(duì)合營(yíng)公司每年的年度報(bào)表和其它賬目進(jìn)行檢查末早，合營(yíng)公司應(yīng)提供方便，其所需費(fèi)用由聘請(qǐng)的一方負(fù)擔(dān)说庭。
Any party thereto has the right to additionally appoint a certified public accountant registered in China to check up the annual financial statements and other accounts of the JV Company which shall provide all convenient assistance as required, but the expenses thus caused shall be borne by the party thus involved.
Case 9:
合營(yíng)公司會(huì)計(jì)采用國(guó)際通用的權(quán)責(zé)發(fā)生制和借貸記賬法記賬然磷。一切記賬憑證、帳薄和報(bào)表都用中文書(shū)寫(xiě)刊驴。而月姿搜、季和年度利潤(rùn)和虧損報(bào)表，資產(chǎn)負(fù)債表和財(cái)政報(bào)表要按乙方和丙方的要求譯成英文捆憎。
The JV Company shall adopt the internationally accepted accrual system and debit and credit bookkeeping method to keep accounts. All accounting vouchers, accounting books and financial statements shall be made in the Chinese language. Moreover, the monthly, quarterly and yearly profit and loss statements, balance sheet and financial statements shall be translated into English versions according to the requirements of Party B and Party C.
Case 10:
在滿足以上支付的前提下舅柜，根據(jù)董事會(huì)通過(guò)的年度報(bào)表和收支預(yù)算，如有外匯節(jié)余躲惰，甲方的提成費(fèi)和利潤(rùn)也應(yīng)以外匯支付致份。
In the premise of satisfying the above-mentioned payment, in case of any foreign exchange surplus, Party A’s royalties and profits shall be paid in foreign exchange according to the annual financial statement and the income and expense budget approved by the board of directors.
